Payhawk Referral Program Terms & Conditions

These Terms and Conditions ("Terms") govern the relations between Payhawk and You and your Referee. By participating within this Campaign, You and the Referee agree with the Terms.

WHEREAS:

Payhawk is engaged in providing corporate expense management solutions. By referring someone to this program, you believe that their participation in this campaign is in the best interest of both referee and yourself

1. Definitions

As used herein, the following terms shall have the meanings set forth below:

1.1. “Campaign” means this Payhawk Referral Program in accordance with these present Terms.

1.2. "Customer" shall mean legal entities, and individuals working within or for the latter, which are using the Product.

1.3. “Party” shall mean You, Payhawk and the Referee. And “Parties '' shall mean any two or all of the latter together.

1.4. “Payhawk” shall mean Payhawk Limited, having its registered office address in 1 Waterhouse Square, 138 Holborn, London, United Kingdom, EC1N 2ST and registered under company No 11747263, and all its subsidiaries and related companies.

1.5. "Product" shall mean Payhawk’s software products and services.

1.6. “Referee” shall mean the corporate entity You refer to Payhawk as part of the Campaign and which has successfully completed the Payhawk’s approval process.

1.7. “Referrer” or “You” means you, as an existing Customer of Payhawk (including your employees).

1.8. “Reward” means a personal Amazon voucher (Gift Cards), sold and delivered by ACI Gift Cards, LLC., an Amazon company, having a nominal value of 100 EUR (one hundred euros) or comparable amounts in other currencies, based on your choice - the available options are listed at the end of these Terms;

1.9. "Territory" shall mean the following described geographic area: EU, EEA and the UK.

1.10. “Terms of use” shall mean Payhawk’s Terms of use, as available on Payhawk’s website https://payhawk.com/terms;

2. Participation and Terms:

2.1. In order for You to participate in the Campaign You must be an active Customer of Payhawk;

2.2. You are entitled to refer as many Referees as You wish. There will be no limit to the amount of Rewards You can receive. However, only one Reward per Referee can be awarded.

2.3. First in time, first in right - In case several Customers have referred the same Referee to Payhawk, only the first Customer to refer the Referee will receive a Reward.

2.4. You should be mindful of the legal and business interests of your Referees and not intrude or spam the companies and the relevant contacts therein you would like to refer.

2.5. You may use your best efforts to promote the Product and or the Payhawk brand. However, You shall not have the authority to negotiate, make any commitments or in whatsoever way bind Payhawk.

2.6. Payhawk will meet or conference and negotiate independently with the referred prospects the terms of the relationship. You may not object to any decisions made by Payhawk regarding the terms or conditions of a particular relationship entered into after a referral. Further, the Company will have sole discretion to enter into or not to enter into an arrangement with a potential customer.

2.7. You understand and agree that for You / Your Referee to participate in the Campaign, Payhawk shall process your / your Referee’s personal data, and you further undertake to lawfully obtain Your Referee’s personal data for the purposes of this Campaign and to share the latter with other Payhawk subsidiaries.

In the course of the campaign, Payhawk shall process the following categories of personal data related to You or Your Referee:

a) First name;
b) Last name;
c) Workplace;
d) Corporate e-mail address;
e) Corporate phone number;
f) Industry;
g) Job title.

The personal data in question shall be stored for the duration of the Campaign. Part of this data may be later processed during and for the purposes of the account opening procedure. Additional information on how we process personal data may be found at our Privacy Policy.

2.8. Payhawk may, at its sole discretion, amend, suspend or terminate these Terms and/or suspend or terminate the Campaign, without prior notice. Nevertheless, Payhawk would always hold the latest version of these Terms publically available on its website.

3. No partnership clause

Nothing contained in this Terms shall be construed to:

3.1. Give either party the power to direct and control the day-to-day activities of the other;

3.2. Constitute the parties as joint ventures, partners, co-owners or otherwise;

3.3. Allow Referrers to create or assume any obligation on behalf of Payhawk for any purpose whatsoever. Referrers shall be responsible for paying all income taxes and other taxes charged in its home country, which may be due pursuant to and in relation with the Rewards.

4. Referral and Allocation

4.1. Referees must:

• Submit an account registration form with Payhawk for the first time;
• Be successfully onboarded and verified in accordance with Payhawk’s approval process;

4.2. Allocation

You will receive the Reward(s) within 10 days after the relevant Referee was successfully onboarded and verified in accordance with Payhawk’s approval process.

In the rare scenario where we experience any difficulties in providing the Reward You agree that we may provide you with equally valued reward(s) of different kinds or their monetary value.

The present Campaign shall be active in the following time period: 31.12.2022; You and Your Referee should note that Referral links are active in a single Campaign, meaning they would be issued at the beginning of the Campaign Period and expire as it ends.

5. Representations and Warranties

5.1. Both Payhawk and You represent and warrant that: (1) it has the right to enter into these Terms and the right to grant the rights herein and it is not a party to any Terms, contract, or understanding that would prevent, limit or hinder its performance of these Terms.

5.2. Payhawk cannot make any representation, warranty, guarantee or an indication on the expected conversion rate and that Your Referees would comply with all regulatory and contractual requirements to become a Payhawk client.

6. Language

The present Terms are published on our website in English and any translation is a courtesy translation only.

7. Miscellaneous

With respect to any matters not covered in these Terms Payhawk Terms of Use will apply accordingly. In case of discrepancies between the Terms of Use and these Terms, the latter will prevail.

8. Rewards

We would support the issuance of the following Amazon gift cards:

100 EUR - (amazon.de, amazon.es, amazon.fr, amazon.it, amazon.nl);

100 GBP - amazon.co.uk;

500 PLN - amazon.pl;

1000 SEK - amazon.se.
